Terms of Service

1. Service Description

Cortex provides a cloud-based memory storage API for AI agents. The service stores, retrieves, and manages text-based memories submitted via API or MCP server.

2. Account & API Keys

You are responsible for keeping your API key secure. Do not share keys publicly. You are responsible for all activity under your account. We reserve the right to revoke keys that violate these terms.

3. Acceptable Use

You agree not to:

  • Store illegal, harmful, or abusive content
  • Attempt to access other users' data
  • Abuse the API with excessive requests beyond your quota
  • Use the service for spam, phishing, or malware distribution
  • Reverse-engineer or attempt to compromise the service

4. Data & Privacy

Memories you store are private and isolated to your API key. We do not sell, share, or use your stored data for training. We may access data solely to maintain the service, debug issues, or comply with legal requirements. See our Privacy Policy for details.

5. Plans & Pricing

Cortex offers a free tier and paid subscription plans. The free tier includes 100 API requests and 500 memories per month. Paid plans offer increased limits as described on our Pricing page.

6. Billing & Payment

Paid subscriptions are billed in advance on a monthly recurring basis. By subscribing, you authorize us to charge your payment method on each billing cycle until you cancel. All amounts are in US dollars. Payment processing is handled by Stripe; your card details are never stored on our servers.

7. Auto-Renewal

Subscriptions automatically renew at the end of each billing period at the then-current rate unless cancelled before the renewal date. You will not receive additional notice of renewal beyond this disclosure.

8. Cancellation & Refunds

You may cancel your subscription at any time from your dashboard or the Stripe billing portal. Upon cancellation:

  • You retain access to paid features through the end of your current billing period
  • No partial or prorated refunds are issued for unused time
  • After the period ends, your account reverts to the free tier
  • Your stored memories are not deleted — they remain accessible within free-tier limits

9. Failed Payments

If a payment fails, your subscription may be downgraded to the free tier immediately. We are not obligated to provide a grace period. You may re-subscribe at any time.

10. Price Changes

We reserve the right to change subscription pricing. Any price changes will take effect at the start of your next billing cycle following at least 30 days' notice via email. Continued use after a price change constitutes acceptance of the new pricing.

11. Service Availability

We strive for high availability but provide no uptime guarantees. The service is provided "as is" without warranties. We are not liable for data loss, downtime, or damages arising from use of the service.

12. Termination

We may suspend or terminate accounts that violate these terms. You may delete your account and data at any time by revoking all API keys and contacting us.

13. Changes

We may update these terms. Continued use of the service after changes constitutes acceptance.
